1. The agreement

These terms are an agreement between you and David PM, LLC, a Texas limited liability company ("we", "us"), for using Meowdy: meowdy.works, its subdomains, the Meowdy iOS app, and the sessions we run. By creating an account, using a personal link, or booking a session, you accept them.

If you use Meowdy for an organisation, you confirm you may accept these terms for it, and "you" includes that organisation. Our Privacy Policy and our Data Processing Agreement are part of these terms.

2. Accounts and roles

Give accurate details and keep your sign-in to yourself. You are responsible for what happens under your account.

An organisation's owners and admins decide who joins it, what role each person has, who may change each How, and who sees whose performance. The organisation is responsible for the people it invites and for the people it adds without an account. A personal link belongs to the person it was sent to; do not share it.

3. Your content

What you put into Meowdy stays yours. You give us permission to store, copy, process and show it only to run Meowdy for you, to keep it secure, and to support you. We do not use it to train AI models, and we do not sell it.

You confirm you have the right to put it into Meowdy, including information about other people.

4. People's performance records

Meowdy records the measures, tiers, results and reviews that an organisation and its people agree. It does not make decisions about anyone's job. The organisation is responsible for how it uses these records, for telling its people what it keeps about them, and for following the employment and privacy laws that apply to it.

5. Using Meowdy fairly

Do not use Meowdy to:

  • break the law or help someone else break it;
  • harass, threaten or discriminate against anyone;
  • reach data that is not yours, or test our security without written permission;
  • upload malware, overload the service, or scrape it;
  • copy, resell or rebuild Meowdy, or reverse engineer it except where the law allows;
  • make the AI produce unlawful or harmful content.

We may remove content or limit an account that does these things.

6. AI features

AI in Meowdy drafts, suggests and checks. It can be wrong. Everything it produces is a proposal until a person accepts it, and you remain responsible for what you accept and for decisions about your business and your people. Nothing in Meowdy is legal, tax, financial or human resources advice.

7. Plans and payment

  • The free plan has the limits shown on the pricing page.
  • Paid plans are billed in advance through Stripe and renew automatically each period until you cancel.
  • You can cancel at any time; the plan ends at the end of the period you paid for. We do not refund partial periods unless the law requires it.
  • We tell you at least 30 days before a price change takes effect on your plan.
  • Prices do not include taxes; you pay any that apply.
  • If a payment fails, we may pause paid features until it is fixed. Your data is not deleted for a failed payment.

8. Sessions with a person

Brainstorms and guided sessions are paid when booked. You can move or cancel a session up to 24 hours before it starts and get a full refund or a new time. Inside 24 hours, or if you do not attend, the session is not refunded. If we cancel, you get a full refund or a new time, your choice.

What you share in a session stays confidential. We sign a non-disclosure agreement if you ask. A session is a working conversation, not legal, tax, financial or human resources advice.

9. Source-code licences

An organisation that licenses Meowdy's source code does so under a separate written agreement. That agreement governs the licence; these terms govern the hosted service.

10. Our property

Meowdy, its software, its design and its name belong to David PM, LLC. These terms give you the right to use the service, not ownership of it. If you send us ideas or feedback, we may use them without owing you anything.

11. Confidentiality

Each of us keeps the other's non-public information confidential, uses it only for this agreement, and protects it at least as carefully as our own. This does not cover information that is public, that we already had, or that the law requires us to disclose.

12. Changes to Meowdy

We work to keep Meowdy available and secure, but we cannot promise it will never be interrupted. We change features over time. If we remove something central to a paid plan, we tell you in advance and you may cancel with a refund for the unused part of the period.

13. Ending the agreement

You can stop using Meowdy at any time, and an owner can delete the account from settings. We may suspend or end an account that breaks these terms, does not pay, or puts others at risk; where we can, we warn you first.

If an account ends for any reason other than its own deletion, you can export your data for 30 days, unless the law requires otherwise.

14. Disclaimers

Meowdy is provided as it is and as available. To the extent the law allows, we disclaim all warranties not written in these terms, including fitness for a particular purpose and that the service will be error free.

15. Limit of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim about Meowdy is limited to the greater of what you paid us in the 12 months before the claim and 100 US dollars.

16. Claims about your content

You will defend us against claims by others that arise from your content or from your use of Meowdy against the law or these terms, including claims by your people about how your organisation used their records, and you will cover the resulting costs and damages.

17. Law and disputes

Texas law governs these terms, without regard to its conflict of law rules. Before going to court, tell us about the problem and give us 30 days to try to solve it. Any case goes to the state or federal courts in Travis County, Texas, and both of us accept their jurisdiction. Either of us may use small claims court where it qualifies.

18. Changes to these terms

We post changes here with a new date. For changes that matter, we email account owners at least 30 days before they take effect. If you keep using Meowdy after that, the new terms apply.

19. General

These terms, the Privacy Policy, the Data Processing Agreement and any order you sign with us are the whole agreement. You may not transfer it without our consent; we may transfer it with our business. If a part is unenforceable, the rest still applies. Not enforcing a right is not giving it up. If a translation differs from the English version, the English version applies.
